Welcome to Foundwell Academy. These Terms of Use (the “Terms”) govern your use of the Foundwell Academy website and online courses (the “Site”), operated by Foundwell Academy (“we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

1. Our courses

Foundwell Academy offers free online video courses. You can watch course videos without an account. Creating a free account lets you save your progress across devices, keep your quiz scores, and earn a certificate of completion. We may add, change, or remove courses or features at any time.

2. Your account

If you create an account, you agree to:

• provide your real name and an email address you own, and keep them accurate;
• keep your password confidential and not share your account with anyone else;
• tell us promptly at info@foundwellacademy.com if you believe someone has used your account without permission; and
• accept responsibility for activity that takes place under your account.

3. Certificates of completion

Certificates issued by Foundwell Academy recognize that you completed a course on the Site. They are for personal recognition only. Foundwell Academy is not an accredited institution, and our certificates are not degrees, diplomas, or professional licenses, and do not carry academic credit. You may not alter a certificate or present it as something other than what it is.

4. Educational purposes only

Our courses are provided for general educational purposes only. Nothing on the Site is financial, investment, legal, tax, or other professional advice, and nothing on the Site is a recommendation to buy, sell, or hold any investment. Before making financial or legal decisions, consult a qualified professional who knows your situation.

5. About our course content

Please keep in mind:

• figures and examples are illustrative unless a source is cited;
• real-world data reflects conditions as of the date the course was recorded and may since have changed;
• narration in some courses may be AI-generated; and
• content may contain errors or omissions, and we may update it at any time.

6. Intellectual property

The course videos, slides, quizzes, text, graphics, logos, and other materials on the Site are owned by or licensed to Foundwell Academy and, to the extent protected by applicable law, are protected by copyright, trademark, and other laws. Some materials were created with the help of AI tools. We grant you a limited, personal, non-exclusive, non-transferable license to access and view the materials for your own non-commercial learning.

You may not copy, download (other than your own certificate and materials we offer for download, for your personal use), record, redistribute, sell, publish, or create derivative works from any course materials, or use them to teach or train others commercially, without our prior written permission, except as permitted by applicable law (for example, fair use). All rights not expressly granted are reserved by Foundwell Academy.

7. Acceptable use

When using the Site, you agree not to:

• break any law or violate anyone’s rights;
• sign up with someone else’s name or email address, or misrepresent your identity;
• access or try to access another learner’s account or information;
• interfere with, disrupt, or try to gain unauthorized access to the Site or its systems;
• use bots, scrapers, or other automated means to access the Site or copy its content; or
• falsify progress, quiz results, or certificates.

8. Third-party services

The Site relies on third-party services, such as our hosting provider and a font provider, and may contain links to other websites. We are not responsible for third-party websites or services, and your use of them is at your own risk and subject to their terms.

9. Suspension and termination

You may stop using the Site at any time, and you can ask us to delete your account by emailing info@foundwellacademy.com. We may suspend or terminate your account or access to the Site, at any time and without notice, if we believe you have violated these Terms or if we discontinue the Site. Sections that by their nature should survive termination, including Intellectual property, Disclaimer of warranties, Limitation of liability, and Indemnification, will survive.

10. Disclaimer of warranties

THE SITE AND ALL COURSES, MATERIALS, AND CERTIFICATES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT YOUR PROGRESS OR DATA WILL ALWAYS BE PRESERVED.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FOUNDWELL ACADEMY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, INCLUDING ANY DECISION YOU MAKE BASED ON COURSE CONTENT. BECAUSE THE SITE IS PROVIDED FREE OF CHARGE, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Foundwell Academy from any claims, losses, and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be resolved in the state or federal courts located in New York, and you and we consent to the jurisdiction of those courts. Before filing a claim, you agree to contact us at info@foundwellacademy.com and try to resolve the dispute informally.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page, and if the changes are significant, we will provide a more prominent notice, such as a banner on the Site or an email to account holders. Your continued use of the Site after an update means you accept the revised Terms.

15. General

These Terms and our Privacy Policy are the entire agreement between you and us about the Site. If any provision is found unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours in connection with a merger, acquisition, or sale of assets.
